End user licence agreement
The terms on which your organisation may use the DocuSanad software. Last updated 30 August 2026.
Please have this reviewed. This agreement is drafted to be clear and fair, but it is not a substitute for advice from your own lawyers, and it has not yet been settled by ours.
1. This agreement
This agreement is between KamSoft Consultants Ltd of 70 Water Lane, Ilford, IG3 9HT, United Kingdom (“we”, “us”) and the organisation that installs or uses the DocuSanad software (“you”).
By installing, deploying or using DocuSanad, you accept this agreement. If you are accepting on behalf of an organisation, you confirm you have authority to bind it. If you do not accept, do not install or use the software.
2. What the software is
DocuSanad is a SharePoint Framework solution that you install into your own Microsoft 365 tenant. It runs on your infrastructure, under your control, and stores all data it creates in your own SharePoint lists and libraries.
We do not host any part of the software and do not process your content. Related obligations are set out in our privacy policy.
3. Licence
Subject to this agreement and to payment of any applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and use DocuSanad within your own Microsoft 365 tenant, for your internal business purposes, for as long as your subscription remains in effect.
3.1 Plans and seats
Functionality depends on the plan you have purchased. Paid plans are licensed per user per month. You must hold a licence for each individual who uses features reserved for that plan.
The free plan is licensed on the same terms except that no fee is payable, and the functional limits published for that plan apply.
3.2 Licence checks
The software checks entitlement through Microsoft. You must not circumvent, interfere with or disable that check, or access functionality reserved for a plan you have not purchased.
4. What you must not do
You must not:
- Copy, modify, adapt or create derivative works of the software, except as permitted by law that cannot be excluded
- Reverse engineer or decompile the software, except to the extent that law expressly permits it
- Rent, lease, resell, sublicense or provide the software as a service to others
- Remove or obscure any proprietary notice
- Use the software to store or process content unlawfully
For clarity, the software runs in your browser and its source is inspectable there. Nothing in this section requires you to pretend otherwise; it restricts what you may do with it, not what you may look at.
5. Your responsibilities
You are responsible for:
- Your Microsoft 365 tenant, its configuration, permissions and backups
- The content you store and manage using the software
- Determining which regulatory obligations apply to you, and configuring the software accordingly
- Any third-party services you connect to the software, including any AI endpoint you deploy, and any charges those incur
- Keeping any credentials you configure in the software secure
6. Compliance features — important
DocuSanad includes features that report how your content compares with regulatory frameworks you select, including retention periods, data subject rights and related controls.
These features are informational. They do not constitute legal advice and do not make your organisation compliant with any law, regulation or standard. Retention periods and other parameters are general baselines; actual obligations vary by sector, record type, jurisdiction and contract, and may conflict.
You remain solely responsible for your compliance obligations and for verifying, with your own professional advisers, that your configuration meets them. We accept no liability for any regulatory finding, penalty or loss arising from reliance on these features.
7. Fees
Paid plans are purchased through Microsoft Marketplace. Microsoft handles billing and collection under its own terms, which apply to the transaction in addition to this agreement. Fees are exclusive of tax unless stated otherwise at the point of purchase.
8. Support
We provide support as described on our support page. Priority handling is available on the plan that includes it. We do not guarantee a specific response time unless separately agreed in writing.
9. Updates
We may release updates that add, change or remove functionality. Updates are delivered through Microsoft Marketplace and applied by your administrator. We are not obliged to maintain any particular feature indefinitely, but we will not remove material functionality from a paid plan during a term you have already paid for without offering a reasonable alternative.
10. Term and termination
This agreement runs for as long as you use the software. Either party may terminate if the other materially breaches and does not remedy the breach within 30 days of written notice.
On termination you must stop using the software and remove it from your tenant. Your data is unaffected: it is in your own SharePoint lists and libraries, and remains yours and fully accessible. Removing the software does not delete it.
If a paid subscription lapses, the software continues to operate at the free plan’s functional level rather than ceasing to function.
11. Warranties
We warrant that we have the right to grant this licence, and that the software will perform substantially as described in its documentation.
Otherwise, and to the fullest extent permitted by law, the software is provided “as is” without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
12. Liability
Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, neither party is liable for indirect or consequential loss, loss of profit, loss of business, business interruption, loss of anticipated savings, or loss or corruption of data.
Subject to that, our total aggregate liability arising out of this agreement is limited to the fees you paid us for the software in the 12 months before the event giving rise to the claim, or £100 if no fees were paid.
13. Confidentiality
Each party will keep the other’s confidential information confidential and use it only for the purposes of this agreement. This does not apply to information that is public, independently developed, or required to be disclosed by law.
14. General
This agreement, together with our privacy policy and any order made through Microsoft Marketplace, is the entire agreement between us about the software.
You may not assign this agreement without our written consent. If any provision is held unenforceable, the rest continues in force. A failure to enforce a right is not a waiver of it. No third party has rights under this agreement.
15. Governing law
This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
